FSC suspends the Managed Corporate Service Provider framework

The Financial Services Commission has announced an important change to its regulatory policy on Managed Corporate Service Providers (MCSPs).

With immediate effect:

• No new applications for Management Company licences structured as MCSPs will be accepted or processed; and
• The Practice Notes governing MCSPs, which have been in place since 2005, have been revoked.

The FSC explains that the decision follows supervisory findings, market developments and the need to maintain robust regulatory standards and effective supervision across the non-bank financial services sector.

Importantly, the Circular also establishes transitional arrangements for existing MCSPs.

Those that have already exceeded the three-year operational threshold will have a strict transitional period of up to one year to apply for conversion to a full-fledged Management Company.

MCSPs licensed in 2024, 2025 and 2026 may complete their existing three-year terms, but will be subject to strict supervisory monitoring and will need to demonstrate progress towards full operational capacity and independence including premises, dedicated staff and systems.

The message is clear: governance, substance and operational independence will remain central to the FSC’s assessment of Management Companies.

Management Companies acting as Host/Managing MCs, existing MCSPs and applicants currently within the framework should assess the implications of the Circular and their respective transition requirements.
